Real Estate Securities
At Axley we understand the unique needs of participants in the real estate industry. We represent sponsors, real estate companies, lenders, developers, investors, property managers, asset managers and broker-dealers in connection with offering fractional interests in real estate through the private placement of securities in tenant-in-common (TIC) and Delaware Statutory Trust (DST) structures. These offerings are often structured so that investors can successfully achieve tax deferred exchange treatment pursuant to Section 1031 of the Internal Revenue Code and have included commercial and industrial property and clients, operating health care and long-term care organizations. With an emphasis on teamwork, we draw upon the experience of attorneys from a wide range of practice areas in an efficient and integrated manner to address corporate, real estate, securities and tax matters. Our services include planning and structuring transactions, conducting due diligence, obtaining financing, acquiring real estate and preparing and advising on the offering memorandum in connection with the sale of TIC and DST interests. Axley attorneys also provide on-going advice to our clients on such legal issues as they arise periodically.
