Tyler T. Manley

Attorney Tyler T. Manley is a senior associate in Axley’s Business Practice Group. He represents businesses, financial institutions, real estate owners and developers, contractors, creative professionals, entrepreneurs, and other private clients in commercial real estate, financing, business, construction, entertainment, and intellectual property matters. His practice is focused on helping clients structure transactions, manage risk, and efficiently move matters from initial planning through negotiation, documentation, and closing.

FINANCE AND LENDING

Attorney Manley regularly represents lenders and borrowers in commercial financing transactions, including syndicated and single-lender revolving, term, mezzanine, construction, and other asset-based loan facilities. His financing work includes preparing and negotiating loan agreements, promissory notes, mortgages, guaranties, security and pledge agreements, intercreditor and subordination agreements, commitment letters, and related closing and organizational documents. He also assists clients with loan modifications, extensions, refinancings, collateral matters, title and survey issues, and the resolution of transaction-specific due diligence concerns.

REAL ESTATE

Attorney Manley’s real estate practice spans acquisitions and dispositions, development, commercial leasing, condominiums, easements, declarations, covenants and restrictions, zoning and land-use matters, and other property-related issues. He represents buyers and sellers of residential, commercial, and development property, as well as landlords and tenants in commercial lease negotiations. Attorney Manley is experienced in coordinating the many components of sophisticated real estate transactions, including financing, title and survey review, due diligence, development documentation, organizational structuring, and closing.

He also advises owners, developers, lenders, contractors, subcontractors, and design professionals regarding construction and development projects. His construction law practice includes negotiating and drafting construction contracts, subcontracts, professional services agreements, development agreements, condominium documents, easements, declarations, and related project documentation. By combining his construction, real estate, and financing experience, Attorney Manley helps clients address project risk allocation, lender requirements, title and access issues, development restrictions, and other legal considerations that arise before, during, and after construction.

GENERAL BUSINESS

In his business practice, Attorney Manley advises companies and their owners throughout the life cycle of a business. He assists clients with entity formation, operating and shareholder agreements, corporate governance, succession planning, mergers and acquisitions, and day-to-day contractual matters. He represents buyers and sellers in asset and equity transactions and prepares and negotiates purchase agreements, letters of intent, confidentiality agreements, employment agreements, management agreements, and related transaction documents. His practical approach is centered on helping business owners achieve their objectives while minimizing legal and operational risk.

INTELLECTUAL PROPERTY

Attorney Manley also counsels clients regarding trademarks, copyrights, trade secrets, entertainment and media matters, technology transactions, licensing arrangements, and other intellectual property issues. He assists businesses, content creators, musicians, producers, artists, influencers, and technology companies with protecting and commercializing their intellectual property assets. His work includes trademark clearance, applications, prosecution, portfolio management, licensing, assignments, renewals, confidentiality protections, content and production agreements, and the integration of intellectual property strategies into larger commercial transactions.

ENTERTAINMENT LAW

His entertainment law practice focuses on advising individuals and companies operating in the music, media, content creation, and creative industries. Attorney Manley assists clients with recording, production, publishing, licensing, talent, influencer, sponsorship, and other entertainment-related agreements, helping creative professionals protect their rights while pursuing new business and growth opportunities. This experience allows him to bridge the gap between traditional business law and the unique legal needs of the creative economy.

Having grown up around family-owned small businesses in southern Wisconsin, Attorney Manley understands that legal advice must be practical, responsive, and aligned with the client’s broader business objectives. He works to communicate clearly, anticipate obstacles, and make complex transactions and legal processes manageable. Whether assisting with a major commercial financing, acquiring or developing real estate, negotiating a construction agreement, protecting a brand, or structuring a business transaction, he strives to provide efficient counsel and solutions that clients can immediately put into action.

Before joining Axley, Attorney Manley practiced with a business law firm in Janesville, Wisconsin, where he worked on real estate, business, trust, and related transactional matters. He also previously served as a legal extern for a hotel development and management company, assisting with internal guidelines, policies, technology contracts, purchase agreements, and other commercial matters. He earned his J.D. from the University of Wisconsin Law School, where he served as an Articles Editor for the Wisconsin Law Review, and received his B.A. from the University of Wisconsin-Whitewater.

Outside the office, Attorney Manley enjoys spending time outdoors with family and friends, cooking with his wife, reading, and following Wisconsin sports.
